The Ministry of Commerce has rolled out new laws concerning the Commercial Register and Trade Names, effective from April 3. These changes are designed to streamline business operations across Saudi Arabia. A significant update is the creation of a unified commercial registry, which consolidates all business activities within the Kingdom, removing the need for separate sub-registries.

This unified system aims to reduce financial burdens on businesses by simplifying processes. An annual electronic confirmation of registry data now replaces the previous renewal method. Non-compliance with these requirements can lead to registration suspension and eventual deletion if data is not confirmed within set timeframes.

New Laws for Commercial Registration in Saudi Arabia

The Law of Trade Names introduces measures to boost confidence in the commercial sector by regulating trade name reservation and registration. Businesses can reserve trade names before registration for specified periods, which can be extended. The law also expands trade name options to include Arabic, Arabized, English, and alphanumeric names.

Additionally, businesses must link their bank accounts to their commercial registrations. They are required to obtain activity licenses within 90 days of registration unless an extension is granted by licensing authorities. A five-year grace period is provided for correcting existing sub-registry statuses.

The new regulations prohibit registering similar trade names across different business activities to protect brand integrity. This ensures that each business maintains a unique identity in the market. The law also specifies controls for reserving or registering family names, personal names, and names associated with Saudi Arabia and its public places.

Alternative penalties such as warnings and corrective actions are available alongside financial penalties for non-compliance. These legislative updates aim to modernize business practices in line with Saudi Vision 2030's strategic goals.
