ADNOC Logistics & Services Announces Strategic Acquisition Of Navig8 To Enhance Global Presence

In a significant move to expand its global footprint, ADNOC Logistics and Services Plc (ADNOC L&S) has announced its agreement to acquire a majority stake in Navig8 TopCo Holdings Inc. (Navig8), a leading international shipping pool operator and commercial management company. This pivotal deal involves an 80% stake acquisition for $1.04 billion (Dh3.8 billion), marking a key step in ADNOC L&S's ambitious growth and investment strategy. The acquisition is poised to be economically beneficial from 1st January 2024, subject to customary regulatory approvals.

Navig8, known for its owned fleet of 32 modern tankers and its commercial presence in 15 cities across five continents, brings to the table substantial value and an international profile that aligns with ADNOC L&S's strategic growth objectives. The remaining 20% ownership will transition in 2027 for a deferred consideration of $335 million to $450 million (Dh1.2 billion to Dh1.7 billion), further cementing this strategic partnership.

The integration of Navig8 is expected to significantly enhance ADNOC L&S's earnings per share by at least 20% in the first full year of investment. This projection is backed by Navig8's impressive EBITDA of over $400 million (Dh1.5 billion) in 2023, which constitutes 44% of ADNOC L&S's EBITDA in the same period.

Cost-saving synergies are a critical aspect of this acquisition, with over $100 million (Dh375 million) per annum in savings identified through optimizing technical management costs and bunker spend. The expansion not only broadens ADNOC L&S's customer base but also enhances its service offerings, including pooling, commercial management, bunker trading, and ESG-focused digital solutions.

Captain Abdulkareem Al Masabi, CEO of ADNOC L&S, shared his enthusiasm for the acquisition, stating, "This value accretive acquisition marks another major milestone as we deliver on our transformational growth strategy." He highlighted the strategic importance of Navig8's global presence and fleet in bolstering ADNOC L&S's position as a leading energy maritime logistics and services company.

The current Navig8 management team is set to continue leading the company, maintaining its operations under the existing Navig8 brand. This approach aims to ensure business performance strength while leveraging the complementary benefits of the partnership with ADNOC L&S.
