ADNOC L&S Completes $1.04 Billion Acquisition Of 80% Stake In Navig8 To Enhance Maritime Logistics

ADNOC Logistics and Services plc has finalised the purchase of an 80% stake in Navig8 TopCo Holdings Inc. for $1.04 billion (AED3.8 billion). This acquisition aligns with ADNOC L&S’s strategy to enhance its global energy maritime logistics capabilities. The company plans to acquire the remaining 20% by mid-2027, further solidifying its position in the industry.

Navig8 operates as a global shipping pool operator with a fleet of 32 tankers and is present in 15 cities across five continents. It also holds investments in technical management firms and a marine fuels provider active in over a thousand ports worldwide. This acquisition marks a significant step in ADNOC L&S's growth strategy, following its successful integration of Zakher Marine International in 2022.

The acquisition will enable ADNOC L&S to broaden its service offerings, including commercial pooling and bunkering services, while expanding its international reach. The move also enhances the company's ESG-focused industrial and digital solutions, aligning with its vision for sustainable growth.

The economic ownership of Navig8 will be effective from January 1, 2024. ADNOC L&S plans to acquire the remaining 20% stake by mid-2027 for a deferred consideration between $335 million and $450 million (AED1.2 billion to AED1.7 billion), depending on EBITDA performance during the interim period.

This acquisition is expected to increase ADNOC L&S's earnings per share by at least 20% in 2025 compared to 2024. Additionally, the company anticipates unlocking synergies worth at least $20 million (AED73.4 million) annually from 2026 onwards.
